Summary

Willkie Farr & Gallagher LLP is looking for an experienced Corporate Paralegal to support the Los Angeles Corporate team. Willkie is an elite international law firm of approximately 1,300 lawyers located in 16 offices in six countries.

 

The Corporate Paralegal will conduct due diligence, research, and SEC filings while supporting entity formation, transactional closings, and related administrative functions. This role involves drafting key corporate documents, coordinating complex closings, and managing pre- and post-closing activities to support attorneys and clients. The ideal candidate will have a minimum of five years' experience supporting partners, associates, and clients on corporate legal matters. Candidates should be able to draft documents and work independently. This role requires in-office presence in the Los Angeles office three times a week.

Responsibilities

Due Diligence

  • Obtain, organize and index due diligence documents
  • Monitor review of data room by other professionals
  • Order and review lien, tax and judgment services

Research

  • Review publicly available corporate and SEC documents and drafts corporate profiles
  • Execute LEXIS and Bloomberg searches
  • Prepare brief bios or background/industry reports

Business Entity Documentation

  • Form and dissolve corporations and other business entities
  • Draft board resolutions, shareholder and partner resolutions, charter documents, and merger certificates
  • Issue stock or membership interest certificates and maintain ledgers
  • Coordinate with service companies for filings and apostilles

SEC Filings and Related Documents

  • Organize exhibits for regulatory filings
  • Obtain EDGAR codes
  • Coordinate distribution to exchanges and interested parties
  • Manage a printer group and proofreaders
  • Draft  tender offer ancillary documents and coordinate mailing to security holders

Transactional/Closings

  • Coordinate working group lists
  • Draft closing documents including secretary's and officer's certificates and UCC statements
  • Coordinate signature collection; manage pre-closing logistics and staffing
  • Substantively review board resolutions, certified corporate documents, and third-party consents
  • Coordinate execution and notarization
  • Manage post-closing activities and closing sets

Administrative

  • Monitor service company accounts
  • Manage and format documents in Microsoft Word, Excel, and Adobe PDF consistent with firm standards
  • Perform other assigned duties

Qualifications

  • Five plus years’ experience as a corporate paralegal in a law firm environment
  • Paralegal Certification from an ABA-approved school required
  • Excellent written and verbal communication skills
  • Strong technical, administrative, and multi-tasking skills
  • Attention to detail and ability to work under pressure
  • Ability to work independently and collaboratively with high-level attorneys and clients
  • Notary certification a plus but not required
  • Flexibility to work overtime required

ADA Requirements

  • Ability to sit at a desk most of the working day and walk short distances
  • Needs manual dexterity, speed and accuracy in handling office equipment
  • Ability to work efficiently and accurately in an atmosphere of frequent interruption
  • Ability to work in close proximity to other individuals
  • Ability to carry light objects, e.g., files, small objects and supplies a short distance.

Pay Range

USD $120,000.00 - USD $140,000.00 /Yr.

Pay Range Statement

The salary range for this role represents the Firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors, including but not limited to, the candidate’s relevant experience, qualifications and location.
